My personal opinion – this break up looks favorable to BCG and it’s shareholders. In current global market where every company has revised their strategy and put a pause on mass hiring, in fact many start ups reduced their employee cost significantly in last few months.
In this situation, strengthening back office through acquisition and spending 566 cr for that doesn’t look a wise call. Rather, they should take sub-contracting route or strengthening back office through partnership is wiser decision. And BCG is doing exactly the same. Also the deal looked costly to me at the time they made, so good that they came out of that. BCG is doing so well in last few quarters, so it’s time to handle financials carefully. In current global slowdown, they can acquire high revenue/profit growth company cheaper. So, I am personally happy with this breakup news. This is purely my personal view. Request my other old boarders to share their thought.

@Manish, you rightly pointed out on continuous improvement in business growth, also that we as investors should ignore social media noise by Naysayers.
We all investors mostly discuss on financials and business in this forum, and do not want to talk much on stock price because we strongly believe, it has to reach to true valuation and be aligned with business growth and financials sooner or later for sure.

what it looks to me “Since 65% of Mediamint deal payment done, means deal must be closed soon formally. For Mediamint too, there is no business case to cancel deal in current global market. Also Mr. Vuchi would have already started working on his next initiative by provisioning Mediamint deal amount”

Friends, it’s very interesting time in BCG, strategic acquisitions in progress, topline, bottom-line, FCF improving, debt free, and many more to happen in next 1 year. Let me remind you all, what SKR sir said in one of the AGM, before the rally started and before SS entered (I think between 2nd and 4th quarter of 2020-2021), that everything will fall in place and he/his-team should be able implement plan by Mar’2023 and so actual financials including SHP will reflect at that time in Apr’2023 or after. We should focus on financials and business, as long as both are good and improving then HOLD for long term and stay away from tweeter/You Tubers influence to get worried, frustrated and start doubting facts. And facts are what BCG shown outstanding results in FY 2021-2022.

Agree to Jacksparrow13, specially on 2 points that 1st generation promoters have issue in delegating responsibilities and second SKR must appoint a CS at earliest to reduce his work load from communication related work at least. CFO position is not that easy to fill so quickly.
My View – “Regarding SHP, not sure why is so much hue and cry. If company is growing then why can’t promotors take advantage and make money when share price is high. Again not sure if they sold or it’s transfer. Many promotors, CEO, board members etc. did in past and doing now. Ex. Jeff Bezos sold his 50% stake in Amazon, Bill gates sold his majority stake in Microsoft and now holding just 1% etc. Are Amazon and Microsoft stopped growing or become bad companies?
For me, the biggest achievement for BCG is to generate FCF in last quarter, which is expected to be 500 Cr by this quarter. It is very healthy sign for company as well as investors. Share price is influenced by many factors, but in long run it should be aligned to business growth.”

What is more important promotor’s holding or Business? Ans: Business
Is promotor’s holding deciding factor for growth and value stocks? Ans: Not at all
why long term investors should worry when Financials improved, Business is growing and promotors taking good decision to acquire a company to build strong backend team to support business growth and sustain? There is no reason to worry. Yes, some corporate governance issues are there, and hoping management will soon address/fix those.
If promotor’s holding is so important then why Infosys (13.11% promotor’s holding) grew faster than Wipro (73% promotor’s holding) and given better return to investors.
I am personally very happy with business growth and rewarding shareholders with bonus shares, and I believe in long run it will help in multiplying investor’s wealth as true multi-bagger. again it’s my personal view only.

Dear All, DH and Logan, Please share your view on latest update posted to exchange. I could see this a masterstroke and now promotor’s holding will go up to more than 30%.

Thank you Logan for sharing the details of well known companies who went through FA in past.
@ Raja .. I liked your conviction and strategy.

For worried investors, who are expecting SKR to comment and calm down investors – too much communication won’t be helpful in present scenario. SKR has made his stand very clear on Feb 28th through formal communication to exchanges. Let me put that for read again – “We wish to categorically state that Brightcom, a global company with strong internal controls and an effective audit system, is compliant with all applicable laws and regulations, across jurisdictions.”

Let us back our analysis and conviction, please read the post by DH who invested after years of research, put some very good points.

Asset impairment is part of product company lifecycle, so let FA happen, even they get some NC observations against BCG, it will make our company more stronger to avoid such in future. Let’s take this event positively.

For me, looks like company missed to inform earlier and informing to shareholders now and at the same time, posted the results of Postal Ballot to not only calm down investors but also to give message that there is nothing wrong else SEBI would not have granted all approvals since Sep-2021. The problem is few people might take advantage of this to spread rumor and negativity and so SKR/team must provide clarification along with status update on this matter.

Let me remind our all investor friends, SKR sir told very clearly 2 quarters back that by Mar 2023, he along with his team will put everything as per their plan (shared with us) in place and at that time true EPS, Cashflow and shareholding pattern will reflect. He has put a great strategy in place and now we can see all action items getting closed one by one as per his plan. Also with this growth journey, he is taking care of shareholders by rewarding with bonus shares and dividends too. Hats off to SKR sir and his team.
    Happy Investing!

Logan sir .. you articulated very well with Excellent example as always. rightly said that naysayers are taking advantage to misguide people and impatient investors. I laugh on their analysis referring past issues which are closed already. Good part is now through this forum and company’s exceptional performance and after shankar sharma, this stock is getting popular day by day. Market has to recognize good fundamentals stocks, and so BCG will definitely achieve its right valuation in a year time.

Dear Investor friends, As I referred about massive wealth creator Infosys when question came on low promotors stake in BCG, similarly regarding bonus shares too BCG is not the only company giving second bonus in 6 months, Infosys too did in Dec2014 1:1 and then Jun2015 again 1:1. BCG has such a great cash reserves and so it makes complete sense to reward share holders. BCG is on path to become Infosys in DM and Adtech business. Happy Investing.

sometimes market sentiments are so strange, TTML financials are completely messed up from what we could find through available sources but look at the stock price movement. And BCG is a gem stock, I have not found a single stock other than BCG which has such an emerging business backed up with strong financials and continuous growth. Market will definitely take it to right valuation sooner or later.
@Logan – we all love you and all senior members of this board for educating us with excellent details of BCG business, future prospect, how to evaluate and figure out intrinsic value of this stock. Who cares for Naysayers who talks without any knowledge base, at least we don’t.

@hw_tw, can’t agree more on promotor’s stake being low. To add on that my question to people do not agree on this – how does it matter? Take example of Infosys, promoter’s stake is around 13% and look at massive wealth it created for investors. So why it should matter when business is good, zero debt, organically and inorganically company is growing. BCG is very undervalued and as per it’s financial it should trade on 80 PE. I believe it’s matter of time, and BCG will definitely achieve adequate valuation in next 1 year. Remember what Shankar Sharma tweeted on BCG – “Sir, the next time you see a trade like Amzn, Aapl, Indusind, Twtr, Tata Motors, HFCL,at multi year lows, tell us.We’ll buy too”.
    I laugh:”You never wud because you’d say”Too risky’.
In hindsight, all great trades seem easy. But they weren’t so then.
    Ad-tech?

This you tuber has missed many points what Logan has been pointing out to educate all of us. Also I can see clear frustration of missing a great rally in this stock. He also missed the organic growth and projection what BCG management has even given to exchanges too. And last but not the least inorganic growth which is expected to be kicked off soon. Also I remember someone from our group analyzed Affle Vs BCG very well unlike this you tuber who is biased on Affle and not on top of all BCG business and financial numbers.
