    I may be wrong, but I have invested looking at standalone as well as consolidated, consolidated help me to see its potential, standalone help me to calculate the risk, and I felt I can take my risk as ROI of standalone is around 9% which is a good return.Consolidated figures excites me, so to control my excitement I used standalone as the basis for my decision, where I felt still I can invest and take calculated risk.

    I am a serial entrepreneur and my investment method is simple, whether the business has potential to create wealth, I personally feel this business will create wealth in India and Asia, where BCG has not spread their wings yet.

    What wealth it has created till today I will see it as security(a kinetic energy, which is taking Care of its movement ), what wealth it can create in the future is its potential(a potential energy, which still to be realised). Taking this two as a basis I have calculated the risk and I am taking my affordable risk.

    How we can get this Happiness?
    Yes,By solving problems around us. To solve problem we use resource, once the resource solve our problem it becomes wealth.

    some problems are simple, like brushing the teeth, and some problems are complex, like problems in professional life.

    So human effort is to create wealth that solves our problem.

    People create wealth and store it for their future to face un expected problem, they store it in the form of money(note, money is just symbolic expression of wealth created).

    Some people might have created so much wealth that it may help him to survive for years, some might have wealth that can be used for few days.

    So we can’t put all on one scale.Depending on their condition they will have approach their own approach,we cannot call them as fools, they are warriors of their family and they have to take risk if they have to protect their families.

    Just think of a situation where all of us sit at home thinking of the second wave and no service or goods are available in the market, in other words if economy stops generating wealth.( Because life is important for all, so all stop creating wealth)

    So we should understand importance of creating wealth, when we see money as just a “paper symbol” it looks useless but see it in the form of wealth, even a rupee matters and we will never dare it let it go.

    So my friend let us respect the people who are risking their life to protect the wealth for their family as well as wealth of the people around them.

    According to me each person who battled to create and protect wealth is a warrior not a fool.

    Like A soldier who gives Their life to protect us and our wealth is a warrior, every person who fights to protect the wealth is warrior, whether he is watchman or a chairman or a common man.

    I am not leaving consolidated result, but saying even if we take standalone EPS still the investment of 5.3 ₹ is justifiable as ROI will be around 9% which is better than keeping the same amount as FD in Bank.

    If we take consolidated it is better around 100% ROI.

    So my point was if we think like a business man even if we are conservative and take standalone still the investment of 5.3₹ is good investment.(because I think market is valuing BCG by taking Standalone).

    But if we think like a multibagger then we may get frustrated as it is fluctuating around 5 and don’t know till when it goes like that.

    So point was let us not get frustrated And hold on to stock as the investment is rational around ₹5.3 and leave it to time for bcg to become multibagger which is not in our control.

    You are very much right that all investment comes with risk, but that risk must be calculated risk and should not be a blind risk. This is what I believe.

    And I feel one should not sign of only because of NCLT case, though it is not good On the part of BCG to drag it so much. But BCG has no option as it has no cash to settle it after settling SBI and Canara Bank.

    Though BCG can settle this by transferring amount from its subsidiaries which are cash rich it is not that easy as the exchange rate comes to 2%( for single transaction)and no business would be interested to loose that much money, instead LOC would be better option because it will cost very less around 0.7 to 0.75%( taking 8 to 9% annual interest), but again not easy before NCLT case is settled so a vicious cycle.

    Coming Back to the investment part, the return on your investment would be as below by taking Standalone Earning per share I.e 0.5.

    1) if share is bought at ₹12 then your ROI would be 4.16%, which is better than keeping FD

    2)if share is bought at ₹5.3(present price), then ROI would be 9.4%, very good investment though not great investment.

    If you take consolidated earning per share it is 9₹ per share which takes it near to 100%.

    But let us be conservative and take only standalone earning. If we think like a business man then this is Still a good investment, but we are thinking as multibaggers then as you said we have to take a risk and whether that is blind risk or calculated risk, I am not in a position to tell.

    I am confused to consider Consolidated figures or Standalone figures, while valuing BCG, because in BSE they are displaying only standalone.

    Kindly help me to understand this.

    Today I have downloaded Audit report of BCG, however I have not read it in depth. Should start reading it.

    If I come across any doubt I will raise it, kindly help me.

    It may also help us all to have quality discussion based on the Audit report than just talking based on market sentiments.

    In my view each member should get actively involved in studying the Annual report and discuss to clear all doubts they have. This may Help clear out doubts.

    Though studying it may be boring😊

    That was my point in my earlier statement…That is BCG is valued on standalone basis not on consolidated basis.

    If we look at Standalone basis the present Market value looks rational, but if we take on consolidate basis, the Market value looks too less.

    Even I am confused what to follow.

    Also BCG hasn’t got its subsidiaries audited I believe, once the BCG gets audited the subsidiaries and consolidated the Market value may go up. Else the sales of the Standalone company should go high for market value to go high.

    Until then the market value may fluctuate in this range.

    As usual we are kept in dark by the management and should wait. No analysis will help us unless the management remains transparent.

    Till then we should remain rational by considering Valuation on standalone basis and not on consolidated basis.

    It is PE for standalone, means only for Brightcom Group audited in India without taking financial statements of its subsidiaries outside India.

    For Consolidated PE is around 0.56

    Now coming to second part

    2) SKR and Intention and Behaviour.

    People can see Individuals Behaviour, not intentions.

    It is where we all are divided into 2 group one who is interpreting SKR intentions through his behaviour in POSITIVE way, the other who is interpreting in NEGATIVE way.

    What SKR upto , that only he knows or God knows.

    But let me put my subjective opinion on SKR through a Analogy ( again it is My subjective opinion )

    Let me Take an example of a story of Family and relatives.

    Family(who looks into fundamentals and fundamental efforts)

    Relatives(who looks Into Price, what market thinks the value should be)

    So let us see the story of a Family (Husband, Wife, Child) and Relatives (from husband side)

    Once relatives visit the Family’s house. And Wife start preparing for Tea, in the process she burns the milk and as you all know the smell spreads badly and remains through out the day.

    However Wife tries to clean it and make a fresh tea.The process needs time cleaning the utensils, bringing fresh milk from shop,boiling it again etc etc. And wife since cannot tell it is burnt and you people may leave, she says just 2 mins it will be done every now and then.

    she knows very well it will not happen in 2 mins and also she is not sure of time with certainty,as the milk to be bought from shop and how much time it takes.

    But in mean while she is cleaning the utensils and getting things ready.

    Now the Family who has seen the problem in the kitchen and the efforts of her will understand why she is asking for time of 2 to 3 mins.

    What about Relatives sitting outside, the interpretation starts here, some say she doesn’t know cooking, some say she has intentionally done it as she doesn’t want them to come again.

    The husband can tell wife’s intention is negative if she is not putting any effort, but if she is putting effort to clean the utensils till she get the milk and trying to manage, then this shows her real positive efforts.

    Now let us come to SKR,

    1)whether SKR not started cleaning the utensils??..I mean hasn’t he resolved any problem.

    2) whether SKR is telling will be done in some time again and again as he doesn’t want to hurt investors and keep them with him or he is just faking.

    The interpretation of Intention through Behaviour is left to Investors based on how they are looking at facts. And Only time tells which interpretation is right or wrong.

    The Family(Fundamental market) are waiting by trusting and the Relatives(Price Market), is tagging the price according to its interpretation.

    Want to be a Family or Relative left to Individual investor.

    2) SKR intention and behaviour.

    Let be begin with SHP

    1) SHP

    Sir I said Gteam not Goenkas.It is the name I gave to operators team I.e “ Gteam”, this includes Goenkas and other biggies who together has 29% Share holding.

    I made 3 group to make my analysis easy.
    a) Promoters
    b) Retail investor
    c) Gteam (operators)

    At last I also declared it is just my analysis and doesn’t carry any credibility.

    Individual share holding raised from 29.47% to 33.45%

    This shows out of 63.24% G team holds 29.8%

    promoters are holding 36.72%

    Though entire oak shares are bought by G team, they failed to increase their share holding.

    I believe this is the reason they are deliberately trying to bring the share price down to create panic among retail share holder and forcing retail share holders to shed their holdings.However SHP shows they have failed in their approach.

    If retail shareholders try to buy at every dip, without any panic then G team will not dare to release their shares at lower price, but if they see the reverse happening then they may hammer the price below and increase their share holding.

    The above discussed analysis is subjective and doesn’t carry any credibility, so I request investors should make their own observation and analysis.

    Promoters pledge reduced by 1.5%

    SKR pledge reduced from 20.94% to 17.24% i.e 3.6%

    Approx 26 lakhs shares released

    In addition he bought 2lakhs shares from open market.

    This shows decent promoter confidence.

    We are in strong clutches of Operators. They are operating very smartly their single bulk trade is not crossing 0.5% of total shares of BCG, by doing this they are avoiding the reporting of Bulk deal to Exchange.

    From yesterday there is huge volume delivered but fragmented below 0.5% I believe.

    From tomorrow if the price increases with low volume traded( between 5 to 10 lakhs), then we can see a rally till 20 to 30₹, but if the operator start shedding the shares (distributes) with high volume ( more than 30 lakhs every day) then again the rally may go up max till 12 to 15₹.

    But seeing the volume I believe the rally may go long because at lower volume the commission paid by operators to brokers will be high. But if the operators are brokerage firm itself then the rally go short as they work for commission and they will be operating trade accounts of their clients on their behalf.

    If once it crosses ₹30 then the rally start moving up.

    So let’s observe what happens.

    This is just my opinion, and shall not be taken seriously by the investors.
