Thank you so much Rathi and the team who met with SKR. Sincere thanks for doing this.

Looking at the updates, my honest view is – I exited completely around 59+ after second bonus. It is still c.12x for me. I wish I could have exited around 21x when I had the opportunity. BCG still made a humongous returns for me even at 12x. I’m forever thankful for BCG for this esp, when I started investing around mid 2015 !.

IMHO, I don’t believe market will turn around after these updates, as most of us knew this already. I could be totally wrong too here.

Few old timers, some may not like my message and ‘could’ ask me to stop writing as I had exited completely. I don’t mind, I will still keep looking at this forum with a different id for any further information, which would give me confidence to re-enter. I couldn’t thank enough the admin for doing this !

This is SKR’s company. He built it from scratch and knows what is best for business. Business is doing great in my view – if not for this shp issue it would still fly even if FA came negative in my view. SKR had faced more pathetic situations, esp the bankruptcy case and came out successfully. I’m very confident that he will do it again – I really couldn’t understand what the current situation is. Mgmt responses doesnt give me a clear picture in my view – I can only understand that they are working very tediously on something in the background.

I really appreciate Mr.Reddy sir for meeting the investors this time and honestly update which he has been doing always. I will reenter again when things turn positive from company irrespective of whether the price is high or low than cmp.

My only ask for Suresh sir is not to look at indirect ways of doing things – esp around the shp issue, indirect acquisition of LLPs(in bse notification also they used the term ‘indirect acquisition’) etc. – please do it in direct way, which will definitely boost lots of investor confidence and put ‘our’ company back in track ! Indirect ways has its merit and demerits – if it works people will appreciate, if it doesnt people won’t and will reflect in cmp !!!

Once again really appreciate Rathi’s team and Suresh sirs effort for meeting them with these updates !! Sorry, if I had hurt anyones feeling ( I might be 100% wrong here too with my views) !

I can’t understand the past few days volumes. If some understood and can explain it would be a help.
    1. There was a huge volume of around a crore both exchanges combined for the past 3-4 days. All the while, throughout the day the sell volume depth was only around 5-6 lakhs. Even today, when 40-50 lakhs were traded in the morning, the sell volume depth was only some 6 lakhs. And still another 40 some lakhs were traded until it get locked in LC(sell volume depth was only 6 lakhs all the while) Was someone very cautious that they buy shares only at LC
    2. My understanding of asm, although we are in stage 2, there can’t be any intraday trading. So all these shares will taken for delivery. Would that be a correct statement? But delivery percentage in bse/nse says different?

Though ppl are selling bonus shares, this trend is confusing for me. Any views from anyone ?

Logan’s view which he mentioned in few messages earlier turns out to be true! In short that’s what this notification conveys indirectly, if you don’t understand

I personally don’t have any mindset expecting a clean chit from FA. If there is a clean chit, then all will be happy. However,if FA audit goes other way, I see it as a book cleaning exercise by sebi. Even if some irregularities are found in FA, Sebi is going to ask company to correct them – there ends the debate on company financials once company corrects them!! Post that company financials are clean!! Dot!

As for the discussion on this forum, glad it is getting attention and needed popularity! Unlike other forums like valuepickr, this doesn’t give any targets. People might not remember, except the longtermers, why it was started in first place or what compelled to do so! Seeing this forum from 20-30 followers to 1600 plus now – but it had always been exchanging information about company / its peers and what +ve/-ve that company should do! Neither discussed targets nor even technicals.More strength to Admin brother for creating this forum!

These are the kind of times when leaders are born and create a brand name and name for themselves and for their future generations – which sets them apart from usual business mens and a respected name in society like Tatas, Birlas. Hope our CEO use this opportunity wisely!

Agree sentiments are negative currently. But if you look at the sequence of events
    1. Sebi sends letter for forensic audit on 16th Sep 21
    2. Company asks Sebi, it may not be necessary as they are compliant with all standards
    3. Sebi confirms back on 25th Feb 2022 saying we need to do it

So when does the discussion on topic of forensic audit gets confirmed, from company’s point of view ? My view is, it gets confirmed only on 25th Feb!

If sebi had confirmed on, say for example, 20th Sep 2021, company would have sent notifications on 20th Sep 2021 itself!

If it is going to take 6-12 months as pointed out by CI for the closure of forensic audit – I doubt the price will really be butchered heavily ( I don’t want to say it out loud to what extent actually). I guess company already have 200+Crs FCF and in plans to increase it to 500+Crs – may be they can postpone their target of 500Crs by a quarter and use some percentage of that money to buy back to a certain extent. They may have other plans, not sure if this would be feasible. But definitely hope this would not affect the current US audio acquisition.

Or if it is possible, cancel the second bonus and again do some buy back. After approval by shareholders/sebi for bonus, whether it is doable at this stage – again I actually dont know, given we are only very few days away from bonus

They could be busy with acquisitions etc, but hope no one can deny the seriousness of current scenario

I don’t think CEO should do concall right now – given the sentiments there might be many ugly/unprofessional questions thrown at him from several investors, which may deteriorate the circumstances further. Well if he can handle it really good – then no issues. If not, then I believe clarification/notifications to exchanges advising any actions to change the current sentiments or probably via a professional media channel (should not be like a news channel debate for TRP )

Does anyone know the timeline of forensic audit. For example, when it happened in Suzlon, Infy, Sunpharma or Binny – how long it took ? Min / Max timelines. I can only see the news of forensic audit initiation in these companies in internet. But can’t see the closure of these audits at all

Expecting a clarification soon from company on the status of forensic audit and why there was a delay in announcing it earlier. Sebi added this share into Nifty indices from March end and gave approvals for bonus etc, – so “sincerely hoping” this isn’t big issue. But I see bunch of big guys in entire social media rejoicing in happiness saying ‘I said so already’!!. So much euphoria for all of them in knowing lot of retail in BCG will suffer if this turns real bad!! Really?? – how cruel these people must be, celebrating/rejoicing downfalls of others!

That’s my observation too Logan on price movements. I even said the same earlier here. They are doing the same since 170 levels! I also agree with what you have said on ESOPs earlier that FPI investors may not like their money to be spent on ESOPs. At the same time I believe that too much price fall should also be arrested and which, obviously everyone, including FPI investors will be interested in. Buying 5-10L shares would come only around may be c.15Crs! For many retail it is a big money, however I believe company can afford it is my view! If company, have some other cards in their pocket other than esops right now to arrest price fall, it’s good. Else I don’t know what else will be the quick way to change the sentiment. From tomorrow included in Nifty Indices! Great volume for the past two days. Hoping for a strong green candle tomorrow!!

Retail panic started only after price came below 140, until then I guess most where ok with the fall from 200.

Shares are in strong grip of some operators who desperately want to pull down the share price. One can easily observe, that whenever share price rises, suddenly the operator will put big sell order for eg, 40K order at rs.145 – it comes to around 58 Lakhs approximately for 40K volume. And it will take some time to be observed by retail – not all retail can afford to buy it. Before it gets observed, they deliberately put another sell order at 143 for 20K for example. They repeat the same things till it get locked in LC. Once the share is in LC, more retail will panic and volume will increase. Operators are doing the same since 180+ and brought it now to 140. Not sure when this is going to stop. All big players percentage are still the same as per latest shp. Sometimes, I hate giving too much shares in the hands of retails – they don’t deserve to be rich.

Logan, hope you are not serious in your last post!! It is a spectacular result ! Two things, which I liked a lot in the information submitted to exchanges are about the FCF and the declaration that EY is the auditor for OMS! Although SRK had mentioned it numerous times in concall about EY, guess it is the first time submitted to exchanges officially, if I’m not wrong!!

No, only the bonus shares are within a year! Have to see how the tax bits comes through in next few days. It believe it is 30% for less than a year and 10% for more than a year in profit! Anyways, it was a bad decision! I lost some quantity of shares and money/positioning too from a long term perspective!

Looking at the trading pattern there is a high activity of traders in BCG. Maintaining a huge difference between BSE and NSE. And bringing LC in BSE with low volumes, there by making sure it gets locked in LC in NSE too. People like Purvesh, Basu etc are making good money I suppose with shorting/trading. If Mr.Suresh really need to get right valuation as he mentioned earlier, he need to do something for stability of share price. Else with the current number of shares, it will be difficult going forward. Another fall is something, I believe, he cannot afford right now, for getting LOC. Even if it is a weak LC, like 1L or 2L sell order in LC – it comes to around 30L or 60L approximately and not all retail could afford buying it! He needs to do something to bring stability in share price, may be we should ask this question in tomorrow concall. Business may do good with great profits, but reputation / brand value is a serious business and he needs to be very serious about it ! And sentiments of investing community should be taken very seriously !

Many talk about cut off date for bonus as 17th Aug i.e, the last date to be eligible is they should buy shares by 17th Aug, so by 20th they will have shares in their demat account and hence be eligible for bonus shares.

I find it bit strange to believe. I believe someone could buy the shares even on 20th and still be eligible for bonus shares even thought the shares will be credited in their account only on Monday

Does anyone have a view on this ? I could be wrong too!

New BSE rule doesn’t make sense. And I wasn’t clear if the 6 months would be calculated from past or do they have cut-off date from when this would be applicable or will it count 6 months from the first day it was announced i.e, today ? I couldn’t get those details

If it is calculated 6 months from the past, then it is ridiculous, most of the small cap which ran in the last one year would then come under this bracket.

Other big questions are what will happen if the demand is still more for a particular stock even it touches the cap of BSE. Does the share gets stuck in same price in BSE and whereas in NSE it will increase, creating a big diff on prices between BSE and NSE ? Or would they make something like move the shares to ASM category if there is still demand for them ?

Last lines on the recent update is interesting – “In the interest of full disclosure to our shareholders, we are sharing this presentation

as this will be presented to a few investors

    in next few days.”

Who would be these few investors ? Hopefully some stable investors !
